1. Acceptance of Terms

By accessing or using IlajDesk (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a clinic or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

IlajDesk is a cloud-based clinic management platform that provides tools for patient record management, appointment scheduling, billing, prescriptions, analytics, and related administrative functions. The Service is provided as a software-as-a-service (SaaS) platform accessible via web browsers.

IlajDesk is a technology tool that assists clinics with documentation and administrative tasks. It does not provide medical advice, diagnoses, or treatment recommendations. Healthcare professionals retain full professional responsibility for all clinical decisions and documentation.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a licensed healthcare professional or an authorized staff member operating under the supervision of a licensed professional
• Be operating a legitimate healthcare practice or clinic
• Provide accurate and complete registration information

We reserve the right to verify your credentials and suspend or terminate accounts that do not meet these requirements.

4. Account Registration & Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must ensure that each user under your account has a unique login credential — shared accounts are not permitted.
• We are not liable for any loss or damage arising from unauthorized use of your account.

5. Your Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

• Comply with all applicable local, national, and international laws and regulations
• Ensure that patient data you enter is accurate, complete, and properly authorized
• Obtain all necessary patient consents required by applicable law before entering data into the platform
• Maintain appropriate backup of your data independently of the Service
• Not use the Service for any fraudulent, harmful, or illegal purpose
• Not attempt to gain unauthorized access to any part of the Service
• Not interfere with or disrupt the Service or its infrastructure
• Not reverse-engineer, decompile, or attempt to extract the source code of the Service
• Not resell, sublicense, or redistribute the Service without written permission

6. Data Ownership & Responsibilities

• Your Data: All patient records, clinical data, and content you enter into IlajDesk remain your property. We do not claim ownership of your data.
• License to Us: You grant us a limited license to process your data solely for the purpose of providing and improving the Service.
• Data Accuracy: You are solely responsible for the accuracy, completeness, and legality of the data you enter.
• Data Backup: While we implement backups, you are encouraged to maintain independent backups of critical data.
• Data Export: You may export your data at any time through the platform settings.

7. Fees & Payment

• The Service is offered under a subscription plan. Fees are specified at the time of registration or renewal.
• All fees are quoted in Pakistani Rupees (PKR) unless otherwise stated.
• Payment is due in advance for each billing period.
• Fees are non-refundable except as required by applicable law.
• We may change fees with 30 days' prior notice. Continued use after a fee change constitutes acceptance of the new fees.
• Non-payment may result in suspension or termination of your account.

8. Intellectual Property

• The Service, including its software, design, branding, and documentation, is owned by IlajDesk and protected by intellectual property laws.
• You receive a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term.
• You may not copy, modify, distribute, sell, or lease any part of the Service.
• Feedback or suggestions you provide about the Service may be used by us without obligation to you.

9. Service Availability & Support

• We strive to maintain high availability but do not guarantee 100% uptime.
• Scheduled maintenance will be communicated in advance when possible.
• We provide customer support via email and in-app channels during business hours.
• We are not liable for any downtime, data loss, or disruption caused by factors outside our reasonable control (e.g., internet outages, natural disasters, force majeure events).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all responsibility for any harm resulting from your use of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILAJDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless IlajDesk, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your data, including patient records and clinical information entered into the platform

13. Termination

• You may cancel your account at any time from your dashboard settings.
• We may suspend or terminate your access if you breach these Terms, with or without prior notice.
• Upon termination, your right to use the Service ceases immediately.
• We will retain your data for up to 30 days after termination to allow for data export, after which it will be permanently deleted.
• Provisions that by their nature should survive termination will survive, including Sections 8 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), and 12 (Indemnification).

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, for significant changes, sending you an email notification. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Pakistan. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of Islamabad, Pakistan.

We encourage you to contact us first to attempt to resolve any dispute informally before resorting to formal proceedings.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and IlajDesk regarding the Service. They supersede all prior or contemporaneous oral or written agreements regarding the Service.
